Want to look at the required clauses when drafting an eUCP-compliant Letter of Credit?
Drafting a Letter of Credit (LC) that accommodates an electronic Bill of Lading (eBL) requires overriding the traditional paper-only presumptions of UCP 600 by expressly incorporating the eUCP (Uniform Customs and Practice for Documentary Credits for Electronic Presentation).
Below are the mandatory clauses, core SWIFT field structures, and sample wording needed to draft an eUCP-compliant LC.
1. Mandatory SWIFT Fields & Baseline Clauses
Under the standard SWIFT MT700 format, several key fields must be specifically configured to support electronic presentation:
A. Field 40E: Applicable Rules
The credit must state that it is subject to the eUCP.
- Drafting Standard:
EUCP LATEST VERSION(orEUCP VERSION 2.0/2.1) - Operational Note: Incorporating eUCP automatically incorporates UCP 600 without needing separate mention. Where eUCP and UCP 600 conflict, eUCP rules prevail.
B. Field 47A / Special Conditions: Place of Presentation & Electronic Address
Under eUCP Article e5, an eUCP credit must specify an electronic address (data processing system) where documents are to be delivered. If hybrid presentation (both paper and digital) is allowed, both physical and electronic addresses must be listed.
- Model Clause:"Electronic records must be presented to the Nominated Bank / Issuing Bank at the following electronic address: [Insert Platform/Portal URL, secure API gateway, or designated secure email address, e.g., tradeops@bank.com / bolero.net ID / CargoX system address]."
C. Field 46A: Format of Electronic Records
Under eUCP Article e4, if an LC does not specify the format of an electronic record, it can be presented in any format. To avoid receiving unreadable files, the format for each digital document must be defined.
- Model Clause:"Commercial Invoice and Packing List must be presented as searchable, text-based PDF documents (.pdf). The Bill of Lading must be presented as an electronic transferable record issued through an IGP&I-approved electronic trading platform [Specify platform, e.g., WAVE BL / CargoX / ICE Digital Trade / Bolero] complying with DCSA open standards."
2. Specific eBL Title & Endorsement Clause (Field 46A / 47A)
Because an electronic bill of lading cannot be physically stamped or endorsed on the reverse, the LC must define the digital transfer of title and consignment instructions:
Consignment & Title Endorsement Clause:"Full set of clean on board Electronic Bill of Lading (eBL) issued by [Shipping Line / Carrier] on [Agreed Platform] made out to the order of [Issuing Bank Name], marked 'Freight Prepaid' [or Freight Collect], notifying [Applicant/Buyer Name and Address]. Transfer of constructive possession/control of the eBL must be executed digitally through the designated platform to the account of [Issuing Bank platform user ID / wallet address]."
3. Critical Operative Clauses Under eUCP
Notice of Completeness (eUCP Article e6)
The 5-day examination period under UCP 600 does not start simply when an email arrives; it begins the banking day after the bank receives the Notice of Completeness.
- Model Clause:"Presentation shall not be deemed complete until the Beneficiary delivers a formal Notice of Completeness in electronic or written form referencing this Credit number. The period for examination of documents shall commence on the banking day following the day on which the Notice of Completeness is received by the bank."
Data Corruption Clause (eUCP Article e11)
Protects both bank and beneficiary if a file cannot be opened or is scrambled in transit.
- Model Clause:"If an electronic record received by the bank appears to be corrupted or inaccessible, the bank shall promptly notify the presenter and request re-presentation. The presenter shall have up to thirty (30) calendar days (or until the presentation expiry date, whichever is later) to re-present the electronic record without invalidating the presentation date."
Fallback / Paper Option (Paper-to-Digital Interoperability)
Shipping lines and carriers reserve the right to revert to paper if technical or legal obstacles arise at the destination port.
- Model Clause:"In the event the carrier is unable to maintain the eBL due to system failure or local regulatory refusal at the port of discharge, paper 'switch' bills of lading issued in accordance with the rules of the underlying eBL platform will be accepted in lieu of the electronic record, provided they state on their face that they were converted from an original eBL."
Summary Checklist for the Drafting Desk
- Rule Selection: Is Field 40E set to
EUCP LATEST VERSION? - Platform Harmony: Have the applicant, beneficiary, carrier, and banks confirmed they all hold active accounts on the same IGP&I-approved eBL platform?
- Electronic Address: Is an exact system URL or transmission portal named in the credit?
- Format Explicitly Stated: Are acceptable file extensions (e.g., PDF/A, structured XML, platform token) identified to prevent "any format" disputes under Article e4?
- Notice of Completeness: Has the mechanism for sending the completion notice been stated so banking timelines don't stall?
